J&J invested $465 million in Sail and secured an option to acquire its CAR-T platform, which generates modified T cells directly in the body

On July 29, Johnson & Johnson announced a collaboration with Sail Biomedicines. Upfront payments under the agreements will total $785 million, and J&J received an exclusive option to acquire Sail for $2.58 billion. The company’s lead program, SAIL-0839, is still at the preclinical stage.

Conventional CAR-T therapy resembles the custom manufacture of a drug for each patient. T cells, which are immune cells, are collected from the patient. In a laboratory, they are equipped with a receptor that recognizes a selected target, expanded, and returned to the patient. Each dose requires cells from that specific patient, laboratory processing, and separate logistics.

Sail is trying to move this process into the patient’s body. An in vivo therapy is intended to deliver instructions to T cells so that they acquire the required function inside the body. In its announcement of the deal, J&J describes this approach as the direct reprogramming of immune cells in the body.

The approach already has a clinical point of reference. In June, Legend published the first phase 1 data for in vivo CAR-T therapy in patients with lymphoma. Sail is developing SAIL-0839 for immune-mediated diseases, but the program remains at the preclinical stage.

J&J’s investment provides access to this program and the right to decide later whether to acquire the entire company. J&J is investing $465 million in Sail’s equity. The $785 million in upfront payments includes $140 million tied to development milestones. The option sets the price of a potential acquisition of Sail in advance.

If this method succeeds in clinical development, cell therapy could be prepared as a drug dose instead of being manufactured separately in a laboratory for each patient. For treatments that produce lasting changes in the immune system, this difference determines how many people could receive the therapy.
